Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Codeeaq (“Company”, “we”, “us”, or “our”) governing your access to and use of our website and services.

By accessing our website or engaging our services, you confirm that you are at least 18 years old, have the authority to enter into this agreement, and accept these Terms in full. If you do not agree, please do not use our website or services.

Codeeaq provides software development, consulting, and digital transformation services as described on our website and in individual project agreements (“Statements of Work” or “SOWs”). The specific scope, deliverables, timelines, and fees for each engagement are set out in a separate SOW or client agreement, which forms part of these Terms.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice.

To receive our services, you agree to:

• Provide accurate, complete, and timely information, materials, and access required for delivery.
• Designate a primary point of contact with authority to make decisions.
• Review and provide feedback on deliverables within agreed timescales.
• Ensure you have all rights to any materials, data, or third-party software you provide to us.
• Pay invoices in accordance with agreed payment terms.

Delays caused by your failure to meet these responsibilities may affect project timelines and additional costs may apply.

Work product: Upon receipt of full payment, all custom deliverables created specifically for you under a SOW are assigned to you, unless otherwise agreed in writing.

Pre-existing IP: Codeeaq retains ownership of all pre-existing tools, frameworks, methodologies, and proprietary components used in delivery. Where such components are incorporated into deliverables, we grant you a perpetual, non-exclusive licence to use them as part of the delivered work.

Our brand: You may not use Codeeaq's name, logo, or trademarks without our prior written consent.

Both parties agree to keep confidential any non-public information disclosed by the other party during the course of an engagement, and to use such information solely for the purpose of fulfilling obligations under these Terms. This obligation survives termination of any engagement for a period of five years, or indefinitely for trade secrets.

Confidentiality obligations do not apply to information that is publicly available, independently developed, received from a third party without restriction, or required to be disclosed by law.

Fees are specified in each SOW. Unless otherwise stated, invoices are due within 30 days of issue. Late payments accrue interest at 2% per month on the outstanding balance.

We reserve the right to suspend work on any project where payment is overdue by more than 14 days, without liability for resulting delays. All fees are exclusive of applicable taxes, which are your responsibility.

We warrant that our services will be performed with reasonable skill and care in accordance with the agreed SOW. We will use commercially reasonable efforts to correct material defects reported within 30 days of delivery.

To the fullest extent permitted by law, we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. Our website and any information on it are provided “as is” without warranty of any kind.

To the maximum extent permitted by law, Codeeaq's total aggregate liability to you for any claims arising out of or in connection with our services shall not exceed the total fees paid by you to us in the twelve months preceding the claim.

In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages.

Nothing in these Terms limits liability that cannot be excluded by law, including for death or personal injury caused by our negligence, or for fraud.

Either party may terminate an engagement by providing 30 days' written notice. Upon termination, you will pay for all work completed to date. We will deliver all completed work product to you, subject to payment of outstanding fees.

We may terminate immediately if you breach these Terms or any SOW and fail to remedy the breach within 10 business days of written notice.

You agree not to use our website or services to:

• Violate any applicable law or regulation.
• Infringe the intellectual property rights of any third party.
• Transmit harmful, offensive, or unlawful content.
• Attempt to gain unauthorised access to our systems or those of our clients.
• Engage in any activity that disrupts or interferes with the operation of our website or services.

These Terms are governed by the laws of India. Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to binding arbitration in Trivandrum, India, in accordance with applicable arbitration rules.

For clients based in the UAE, engagements governed under UAE law shall be subject to the jurisdiction of the Dubai courts.

Entire agreement: These Terms, together with any applicable SOW, constitute the entire agreement between the parties and supersede all prior discussions.

Severability: If any provision is found unenforceable, the remaining provisions continue in full force.

Waiver: Failure to enforce any provision does not constitute a waiver of our rights.

Assignment: You may not assign your rights or obligations without our written consent. We may assign ours in connection with a business transfer.
